1. Acceptance of Terms

By accessing and using the services provided by Happy2Convert ("we," "us," or "our"), you ("client" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Happy2Convert provides professional document conversion and design services, including but not limited to:

  • PDF to Word document conversion
  • Desktop publishing and layout design
  • Bilingual document services and translation
  • Image preparation and optimization
  • Adobe InDesign, Illustrator, and Photoshop services
  • Typesetting and formatting
  • Articulate Storyline development
  • FrameMaker and Microsoft Visio services
  • Custom document solutions

3. Service Agreement and Project Scope

Project Initiation

Each project begins with a detailed consultation to determine your specific requirements. We will provide a written quote outlining the scope of work, timeline, and pricing.

Scope Changes

Any changes to the agreed project scope must be documented in writing and may result in additional charges and timeline adjustments.

Client Responsibilities

Clients are responsible for:

  • Providing complete and accurate source materials
  • Clearly communicating project requirements and expectations
  • Providing timely feedback during review phases
  • Ensuring they have rights to all materials provided
  • Making payments according to agreed terms

4. Pricing and Payment Terms

Pricing

Pricing is determined based on project complexity, timeline, and specific requirements. All prices are quoted in Indian Rupees (INR) unless otherwise specified.

Payment Schedule

  • Small Projects (Under ₹10,000): Payment due upon completion
  • Medium Projects (₹10,000 - ₹50,000): 50% advance, 50% upon completion
  • Large Projects (Over ₹50,000): Custom payment schedule based on milestones

Payment Methods

We accept the following payment methods:

  • Bank transfer (NEFT/RTGS/IMPS)
  • UPI payments
  • PayPal (for international clients)
  • Credit/Debit cards through secure payment gateways

Late Payments

Payments not received within 15 days of the due date may incur a late fee of 2% per month. Work may be suspended on projects with overdue payments.

5. Intellectual Property Rights

Client Materials

Clients retain all rights to their original content and materials. You warrant that you have the right to use all materials provided to us.

Work Product

Upon full payment, clients receive full rights to the completed work product. Before full payment, Happy2Convert retains rights to all work performed.

Portfolio Usage

We reserve the right to display completed work in our portfolio and marketing materials, unless confidentiality agreements specify otherwise.

6. Confidentiality and Data Protection

We understand the sensitive nature of your documents and maintain strict confidentiality:

  • All client information and documents are treated as confidential
  • Staff members sign confidentiality agreements
  • Secure file transfer and storage protocols are employed
  • Client documents are deleted from our systems within 30 days of project completion
  • Non-disclosure agreements are available upon request

7. Quality Assurance and Revisions

Quality Standards

We maintain high-quality standards and conduct thorough reviews before delivery. All work is checked for accuracy, formatting, and adherence to project specifications.

Revision Policy

  • Minor Revisions: Up to 2 rounds of minor revisions are included in the project cost
  • Major Revisions: Substantial changes may incur additional charges
  • Client Error Corrections: Revisions due to client-provided incorrect information may incur charges
  • Timeline: Revision requests must be submitted within 7 days of delivery

8. Delivery and Timeline

Project Timeline

Project timelines are estimated based on scope and complexity. We strive to meet all agreed deadlines but cannot guarantee delivery dates due to factors beyond our control.

Delivery Methods

Completed work is delivered through:

  • Secure cloud storage links (Google Drive, Dropbox)
  • Email for smaller files
  • FTP for large file transfers
  • Physical media when requested

Delays

Delays may occur due to client feedback response time, scope changes, technical issues, or force majeure events. We will communicate any potential delays promptly.

9. Limitation of Liability

Our liability is limited to the total amount paid for the specific service. We are not liable for indirect, incidental, or consequential damages including:

  • Loss of profits or business opportunities
  • Data loss or corruption (clients should maintain backups)
  • Third-party claims
  • Delays in project completion
  • Incompatibility with client systems or software

10. Warranty and Disclaimers

Service Warranty

We warrant that our services will be performed with professional skill and care. If work does not meet agreed specifications, we will correct it at no additional charge.

Disclaimers

We disclaim warranties regarding:

  • Compatibility with all software versions or systems
  • Third-party content accuracy or rights
  • Uninterrupted service availability
  • Results meeting client's business objectives

11. Termination

Client Termination

Clients may terminate projects with written notice. Payment is due for all work completed up to the termination date.

Our Termination Rights

We may terminate services if:

  • Payments are significantly overdue
  • Client violates these terms
  • Project requirements are illegal or unethical
  • Client provides false or misleading information

12. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or other force majeure events.

13. Dispute Resolution

Initial Resolution

We encourage direct communication to resolve any disputes. Please contact our support team for assistance with any issues.

Formal Disputes

If informal resolution fails, disputes will be resolved through:

  • Good faith negotiations
  • Mediation if necessary
  • Arbitration under Indian Arbitration and Conciliation Act
  • Jurisdiction: Courts of Chennai, Tamil Nadu, India

14. Modifications to Terms

We reserve the right to modify these terms with advance notice. Continued use of our services after changes constitutes acceptance of new terms. Existing projects remain subject to the terms in effect when the project was initiated.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
